Anyone ever seen this nic card failing

First, it's unlikely going to PCI vs. ISA will cure anything, unless both
the original and replacement ISA cards were bad and you get a good PCI
one...  :)

Can't say I've had or heard of this problem, but a couple of thoughts. 
First, isn't that a PnP card, and if so, I'd suggest using the utility to
turn the PnP off and setting the card manually.

Otherwise, when you say reboot, do you mean a power off reboot, or just a
shutdown and restart?  If just a shutdown and restart works, I'd say it's
NOT the card, but some service that's timing out or crashing or
something, regardless of the logs.  Have you tried restarting just the
network related services/daemons?
